2. Services Provided
We specialize in software development and related services, including but not limited to:
- Hourly Projects: Services billed based on actual hours worked.
- Fixed-Bid Projects: Services billed at a predetermined price for the entire project scope.
Detailed terms regarding pricing, timelines, and deliverables will be outlined in separate agreements or contracts for each project.
3. Hourly Projects
For hourly projects, billing is based on the actual hours worked at the agreed hourly rate. Time tracking tools may be used to provide transparency.
- Invoicing: Invoices will typically be sent weekly or bi-weekly for hours worked.
- Payment Terms: Payments are due upon invoice receipt. Late payments may incur additional fees as stated in the contract.
4. Fixed-Bid Projects
Fixed-bid projects involve an agreed total price based on project scope and resources required.
- Milestones: Payments may be structured around milestones agreed upon before project start.
- Scope Changes: Any changes to the agreed scope may result in additional fees. Such changes will be documented and require approval before proceeding.
5. Payments
All payments must be made using the agreed payment methods specified in the contract. Payment instructions will be provided for your convenience.
- Late Payments: Late payments will incur a fee of [X]% per month on the overdue balance.
- Refunds: Refunds are generally not provided except where GladBit fails to deliver the agreed services, or as specified in the contract.
6. Client Responsibilities
Clients are responsible for:
- Providing all necessary information, access, and resources required to complete the project.
- Maintaining timely communication and promptly responding to project-related queries.
- Reviewing and approving deliverables within agreed timeframes.
7. Confidentiality & Non-Disclosure
We respect your privacy and confidentiality. Any sensitive information shared during our engagement will be treated as confidential. When necessary, we may enter into a separate Non-Disclosure Agreement (NDA) to protect your intellectual property and business information.
8. Intellectual Property
Upon full payment, intellectual property rights for the delivered solutions — including code, designs, and documentation — will be transferred to you unless otherwise agreed in writing.
9. Limitation of Liability
GladBit is not liable for any indirect, incidental, special, or consequential damages arising from the use of our services.
We are not responsible for interruptions or issues caused by factors beyond our control, such as internet outages or third-party service failures.
10. Termination
Either party may terminate the contract with written notice. Upon termination, you agree to pay for all work completed up to the termination date. Termination does not waive any accrued rights or obligations.
11. Amendments
GladBit reserves the right to modify or update these Terms at any time. Updated Terms will be posted on this page with the revised date. It is your responsibility to review these Terms periodically.
12. Governing Law
These Terms are governed by the laws of the jurisdiction in which GladBit operates. Any disputes will be resolved through arbitration or courts in that jurisdiction.
